Custom Avatar Policy

This Custom Avatar Policy explains the rules and responsibilities for creating, generating, using, and distributing AI-generated avatars and related content, and for videos you upload to the Service.

AvatarReacts is operated by Daruma Ventures LLC ("Daruma Ventures LLC", "we", "us", or "our").

By using any custom avatar features, you agree to this Policy, our Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund Policy.

1. Overview

AvatarReacts allows users to create AI-generated avatars from text prompts and use them to produce reaction videos for creative, marketing, and advertising purposes. Avatars are generated from text prompts only. The Service does not offer uploading a photograph of a real person's face to create an avatar, and does not offer voice cloning. Because avatar features involve likeness and representation, they carry serious legal and ethical obligations.

You are solely responsible for ensuring that your use of custom avatars and related content complies with this Policy and all applicable laws, regulations, platform rules, and advertising requirements.

2. Scope

This Policy applies to all users of AvatarReacts, including individuals, businesses, agencies, contractors, and teams, who create, upload, generate, edit, publish, download, distribute, or otherwise use Custom Avatars or Custom Avatar Content through the Service.

3. Definitions

Custom Avatar means any AI-generated visual identity, likeness, face, persona, or character created from a text prompt within the Service.

Custom Avatar Content means any video, image, performance, output, or other media that includes, uses, depicts, or is based on a Custom Avatar, including reaction videos rendered from videos you upload.

4. Rights and Permissions

You may only create or use Custom Avatars if you have full legal rights and permissions to do so.

You represent and warrant that:

• you will not write prompts intended to recreate or imitate the likeness of any real person without that person's explicit consent or other lawful authority;
• you own or have explicit permission to use any video or other material you upload to the Service, including all rights to any likeness, performance, or content it contains;
• you have obtained all necessary consents, releases, licenses, and permissions from any individual appearing in videos you upload;
• your use does not violate any copyright, trademark, publicity, privacy, contract, defamation, or other legal rights;
• you will not use AvatarReacts to replicate or simulate the likeness of any person without lawful authority and any required consent.

5. Prohibited Uses

You may not use Custom Avatars or Custom Avatar Content to:

• impersonate any real person without their explicit consent or other lawful authority;
• create deepfakes or misleading representations of individuals, brands, organizations, or entities;
• suggest that a real person has endorsed, reviewed, approved, or participated in content without authorization;
• mislead viewers about whether a person, testimonial, review, endorsement, or spokesperson is real, synthetic, compensated, or AI-generated;
• use the likeness, persona, image, or voice of celebrities, public figures, private individuals, creators, influencers, or customers without permission where required;
• create fraudulent, deceptive, manipulative, defamatory, or abusive content;
• promote scams, unlawful products or services, illegal activity, hate, violence, harassment, or exploitative conduct;
• use nudity, pornography, sexually explicit material, or other prohibited adult content;
• violate any advertising, disclosure, election, consumer protection, privacy, intellectual property, or AI-related law or regulation;
• violate any third-party platform rules, ad network rules, marketplace rules, or publisher requirements;
• use avatars in any unlawful, harmful, or abusive way.

6. Advertising and Disclosure Requirements

If you use Custom Avatars in advertising, marketing, sales, promotional, testimonial, or endorsement content, you are solely responsible for ensuring compliance with all applicable laws and platform policies.

This includes, without limitation:

• ensuring testimonials, endorsements, reviews, and performance claims are truthful, substantiated, and not misleading;
• not presenting AI-generated avatars as real customers, clients, creators, reviewers, or spokespersons if that would mislead consumers;
• making all disclosures required by law, regulation, or platform policy, including AI-generated content disclosures where required;
• ensuring all claims about results, earnings, health, performance, or product benefits comply with applicable advertising rules;
• complying with FTC guidance and all similar consumer protection, endorsement, and disclosure requirements.

7. User Obligations

You are solely responsible for all Custom Avatars and Custom Avatar Content you create, upload, edit, publish, distribute, download, or otherwise use through AvatarReacts.

You agree that you will:

• comply with all applicable local, state, federal, and international laws and regulations;
• ensure the accuracy of any statements, disclosures, labels, metadata, attributions, and source materials associated with your content;
• maintain records of permissions, releases, licenses, and consents where appropriate;
• use Custom Avatars in a way that does not mislead viewers, customers, platforms, regulators, or rights holders;
• promptly stop using any Custom Avatar Content if you no longer have the rights or permissions necessary to use it.

8. Ownership and License

You retain ownership of your Custom Avatar Content, subject to your compliance with this Policy and our Terms of Service.

You grant Daruma Ventures LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your Custom Avatar Content solely as necessary to operate, provide, secure, support, moderate, and improve the Service for you.

Daruma Ventures LLC does not claim ownership of your Custom Avatar Content solely by virtue of your use of the Service.

9. Responsibility, Assumption of Risk, and Liability

You assume full responsibility and risk for your creation and use of Custom Avatars and Custom Avatar Content.

Daruma Ventures LLC is not responsible for how you use avatars or generated content, and makes no guarantee that any Custom Avatar, output, or use case is lawful, compliant, unique, accurate, non-infringing, or suitable for your intended purpose.

You are solely responsible for any claims, losses, damages, liabilities, penalties, investigations, disputes, or costs arising out of or related to your Custom Avatars or Custom Avatar Content.

10. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Daruma Ventures LLC, its affiliates, owners, officers, employees, contractors, licensors, and agents from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of Custom Avatars or Custom Avatar Content;
• your breach of this Policy, our Terms of Service, or any other AvatarReacts policy;
• your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or other rights;
• your failure to obtain required permissions, consents, licenses, or releases;
• your violation of any law, regulation, platform rule, or advertising requirement.

11. Disclaimers and Limitation of Liability

Custom avatar features and all related tools, outputs, and services are provided on an "as is" and "as available" basis, without warranties of any kind except as expressly required by law.

To the fullest extent permitted by law, Daruma Ventures LLC disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or compliance.

To the fullest extent permitted by law, Daruma Ventures LLC will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunities, arising out of or related to your use of Custom Avatars or Custom Avatar Content.

Any limitation of liability set forth in our Terms of Service applies to this Policy and all disputes related to Custom Avatars and Custom Avatar Content.

12. Enforcement

We may review, monitor, investigate, remove, disable, restrict, or report use of Custom Avatars or Custom Avatar Content for compliance with this Policy, our Terms, applicable laws, and third-party platform requirements.

If we determine, suspect, or believe that a violation has occurred, we may take action at our sole discretion, including:

• removing or disabling content;
• suspending or terminating your account;
• revoking access to custom avatar or related AI features;
• denying refunds where permitted under our policies;
• cooperating with law enforcement, regulators, rights holders, platforms, or other third parties;
• taking legal action where appropriate.

13. Relationship to Other Policies

This Policy is part of and supplements our Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund Policy. If there is a conflict between this Policy and our Terms of Service, our Terms of Service will control unless this Policy expressly states otherwise.

14. Changes to This Policy

We may update this Custom Avatar Policy at any time. Updates will be posted on this page with a revised "Last updated" date.

Your continued use of the Service after changes become effective constitutes your acceptance of the updated Policy.
